MEMORANDUM OF ASSOCIATION

1. Name of the Society : THE SHAKESPEARE ASSOCIATION

2. Location of the Registered Office : 173, Sector-2, Urban Estate, Kurukshetra

3. Area of Operation : All Haryana

4. Aims and Objects :

The aims and objects for which this Association is established are:

(i) To hold meetings for exchanging ideas and perspectives related to Shakespeare studies and his time through seminars, conferences, workshops, symposia, lectures, and performances.

(ii) To bring out newsletter, journal, etc., to promote Shakespeare studies among individual scholars, students, and institutions and sensitive audiences across the country.

(iii) To translate Shakespeare’s plays and poems into different Indian languages.

5. Conditions :

(i) The income and property of the Association shall be applied solely towards the promotion of the Association as set forth in the Memorandum of Association and no portion thereof shall be paid or transferred directly or indirectly, to the members of the Association.

(ii) No member of the Executive Committee or the Association shall be pointed to any salaried office of the Association paid by fees, that no remuneration shall be given by the Association to any member of such Executive Committee except repayment of out-of-pocket expenses and interest on money lent or rent for premises to the Association.

(iii) The Association by its profits, if any, or other income, will be used in promoting its objects.

(iv) Upon winding up or dissolution of the Association if there dissolution of the satisfaction of all its debts and liabilities or any property whatever, the same shall not be or distributed among members of the Association, but shall be given or transferred to some other institution with similar aims and objectives to be determined by members of the Association before or at the time of dissolution.

6. The Management of the affairs of the Association are entrusted in accordance with the rules and regulation of the Association to an executive committee of which the first members are as under:-

RULES AND REGULATIONS:

Name of Association: Its name is The Shakespeare Association with its head office at #173, Sector-2, Urban Estate, Kurukshetra.

Membership: The membership, open to all scholars and admires of Shakespeare, will be subject to the approval of the President.

Termination or Cessation of Membership: The President, on the recommendation of the Executive Committee, shall have the power to remove a member on the following grounds:

a) If found involved in any criminal activity.

b) If turned hostile to the Association, acting against its interests, opposing its activities.

General Body Defined: All members of the Association duly admitted by the President shall constitute the general body of the Association.

Powers:

a) The General Body shall have the power to elect its President, other office bearers as required by the rules and regulations.

b) It will have the power to amend the rules and regulations of the Association.

c) If shall have powers to take decision about financial and other matters of the Association.

Notice: Fifteen days notice shall be given to members for holding the annual General Body meeting.

Meeting: General Body meeting shall be held once a year. The meeting shall be presided by the President of the Association.

Quorum: Two third members of the Association shall form the quorum for holding the General Body meeting.

Rights of Members: Members shall be privileged to participate or attend all activities of the Association. They shall also have the privilege to purpose or suggest any activity or agenda item for the consideration of the President.

Executive Committee: Affairs of the Association shall be managed by an Executive Committee to be constituted by the President of the Association from amongst its members.

Strength: The Executive Committee shall have a minimum of 7 members and a maximum of 21.

Term: The term of the Executive Committee will be 3 years. If any vacancy is filled during the 3-year term, the incumbent shall be member only for the left-over period.

Notice: Seven days notice shall be given by the General Secretary of the Association.

Quorum: Fifty percent members of the Executive Committee shall form the quorum.

Meetings: The Executive Committee shall normally have four meetings every year. However, if required, more meetings can be called. The meetings will be presided by the President of the Association.

Emergency Meeting: An emergent meeting can be called by the President by giving 3-day notice.

Powers and Functions of the Executive Committee:

a) The Executive Committee, headed by the President, shall be responsible for the management and administration of all affairs of the Association.

b) All decisions will be taken by majority vote, subject to the approval of the President.

c) To prepare annual calendar of activities of the Association.

d) To appoint the Election Officer and his/her powers and duties.

Office-holders of the Association:

1. President:

(i) President, to be elected by the General Body of the Association, shall hold office for a term of 3 years. However, the first President of the Association shall have two consecutive terms, remaining in office for 6 years.

(ii) All resolutions adopted by the General Body and the Executive Committee shall be subject to the approval of the President.

(iii) Agendas for the meetings of the Executive Committee or the General Body shall be prepared and taken up with the approval of the President.

(iv) The President will sign all papers on behalf of the Association and shall approve the earnings and spending of the Association, including the Bank cheques, etc.

2. Senior Vice-President:

(i) The Senior Vice President shall assist the President in all matters and in the manner to be decided by the President.

(ii) In the absence of the President, or authorized by the President, the Senior Vice President shall discharge all powers of the President.

3. Vice-President:

(i) The Vice President shall enjoy such powers and discharge such duties as are assigned to him/her by the President.

(ii) The Vice President shall assume all powers and functions of the Senior Vice President the Senior Vice President.

4. General Secretary:

(i) The General Secretary shall prepare, with the approval of the President, agendas for the meetings of the General Body and the Executive Committee. He shall also prepare minutes of these meetings, get them approved by the President, and circulate them to the members concerned.

(ii) The General Secretary shall also prepare and maintain the record of activities of the Association and shall be responsible for the organization of all events of the Association.

5. Joint Secretary:

(i) The Joint-Secretary shall assist the General Secretary in all matters assigned to the latter by the memorandum of Association.

(ii) In the absence of the General Secretary, the Joint-Secretary shall assume the powers and functions of the former.

6. Treasurer:

(i) The Treasurer shall, with the permission of the President, admit members to the Association and maintain records of both membership and accounts accruing therefrom.

(ii) The Treasurer shall also handle, with the permission of the President, the accounts of the association, including all earnings and spending.

7. Co-Treasurer:

(i) The Co-treasurer shall assist the treasurer in all duties and functions assigned to the latter.

(ii) The Co-Treasurer shall assume, in the absence of the Treasurer, all duties and functions of the Treasurer.

Election:

After every three years, the General Body of the Association shall elect its President, who in turn shall nominate the other office bearers and members of the Executive Committee.

Sources of Income:

The membership fee and member’s contribution alone shall constitute the income of the Association, all to be spent on the Association itself and its activities.

Dissolution:

If upon the winding up or Dissolution of the Association there remains after satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid to on distributed among the members of the Association, but shall be given or transferred to some other institution having object similar to the object of the Association to be determined by the members of the Association at or before the time of Dissolution.

Legal Proceedings:

The Association may sue and/or the sued in the name of President as per the provisions laid down under section 6 of the Societies Registration Act 1860, as applicable to ‘Haryana’.

Amendment:

Any amendment in memorandum rules and regulations will be carried out in accordance with sections 12&12-A of the Societies Registration Act 1860, as applicable ‘Haryana’.

Application of the Act:

All provision under all the Sections of the Societies Registration Act 1860 as applicable to ‘Haryana’.

Certified:

Certified that above rules of the Association are the same which were approved in the meeting held on 27th Oct. 2008.
